Cognizant has entered into a definitive agreement to acquire DyFlex Solutions, an Australia-headquartered SAP services provider, expanding its planned SAP and artificial intelligence (AI) capabilities in Australia and New Zealand.

The proposed acquisition would add DyFlex’s advisory, implementation and managed services capabilities to Cognizant’s technology services business. Financial terms were not disclosed.

Founded in 2011, DyFlex has more than 300 employees, offices across Australia and New Zealand, and a delivery presence in the Philippines. Its services cover SAP Public Cloud and Private Cloud, including finance, digital supply chain, asset maintenance, human capital management, data and analytics. It also serves industries such as mining and resources, energy and utilities, manufacturing, logistics and the public sector.

The acquisition comes as consulting firms expand their involvement in SAP’s AI ecosystem. Deloitte has also been investing in SAP-focused AI implementation through a dedicated delivery centre in Bengaluru.

The IT company said it plans to combine DyFlex’s regional SAP expertise and proprietary delivery tools with its AI platforms, including Neuro AI Enterprise Core and the Cognizant SAP Agentic AI Platform. It expects the combination to help clients deploy AI and agentic systems across their SAP environments. The announcement did not disclose specific customer deployments or projected financial benefits from the proposed combination.

“DyFlex brings deep SAP consulting capabilities that are key to reimagining SaaS, modernising clients' business landscapes and driving operational performance,” Roshan Subudhi, SVP and Head of Intelligent Enterprise Platforms at Cognizant, said.

Cognizant has also been applying AI to enterprise software development. In May, it announced a collaboration with Travelport and Anthropic to develop AI-powered travel technology. The collaboration involved applying AI to software development and travel technology infrastructure.

The transaction is expected to close in the first quarter of 2027, subject to regulatory approvals and other customary closing conditions. Cognizant and DyFlex will continue to operate as separate businesses until the deal closes.
